Welcome to KariPass (“Platform”, “we”, “our”, or “us”), a Caribbean-based digital marketplace that provides event ticketing and e-commerce retail services. These Terms of Use and Transaction Policy (“Terms”) govern your access to and use of our website, mobile app, and services (collectively, the “Platform”).

By using the Platform, you agree to be bound by these Terms. If you do not agree, please do not access or use the Platform.

1. Eligibility

Only the authorized holder of the payment method (or a minor under parental/guardian supervision, with the requirement that the parent/guardian reads and agrees to this Agreement) may use the Platform. Users under the age of 13 are strictly prohibited.  By using the Platform, you warrant that you meet these requirements.

2. Scope of Services

We provide two main services:

a. Ticketing Services

Users may browse, purchase, and manage tickets for events listed by third-party event organizers (“Organizers”).

b. E-commerce Services

Users may browse, rent or purchase, and receive products or services offered by third-party vendors (“Sellers”) or by KariPass directly.

We are a facilitator, not the seller or organizer of most goods or events, unless explicitly stated.

3. Account Registration

To make purchases or list events/products/services, you must register an account. You agree to provide accurate and updated information and are responsible for all activity on your account.

4. Organizer & Seller Responsibilities

By listing products/services or events, you agree to:

• Accurately describe listings (event details, product specifications, prices, etc.).
• Handle your own customer service and refund requests, unless otherwise arranged.
• Comply with all applicable laws and licensing requirements in your Caribbean jurisdiction.

We reserve the right to suspend or remove listings or accounts for violations of these Terms.

5. Buyer Responsibilities

As a buyer or ticket purchaser, you agree to:

• Review listing details (refund policy, delivery method, event rules, etc.) before purchasing.
• Provide accurate contact and payment information.
• Abide by any event, venue, or product use terms set by the Organizer or Seller.

6. Transaction Policy

a. Currency

All prices are listed in Eastern Caribbean Dollars (XCD). Cross-border or foreign exchange fees may apply based on your payment method.

b. Payment Processing

Payments are securely processed via third-party services (e.g., WooCommerce, WiPay, PayPal, Stripe, credit/debit cards). You agree to their terms. We do not store full payment details.

c. Ticket Delivery

Tickets are delivered via:

• Email (PDF or QR code)
• In-app wallet (if applicable)

Organizers are responsible for ticket validity and event access.

d. Product Delivery

Product shipping times, methods, and tracking are defined by the Seller and shown at checkout. Delivery timelines may vary based on the island or region.

e. Returns & Refunds

• For Tickets:
  • Canceled Events: Full or partial refunds may be issued at the Organizer’s discretion.
  • Postponed Events: Tickets usually remain valid for the new date.
  • No-Show: No refunds will be issued if you miss the event.
• For Products:
  • Refund/return eligibility is based on the Seller’s individual policy.
  • You are responsible for return shipping unless the item was defective or incorrect.

We may assist in mediating disputes but are not liable for outcomes of buyer-organizer or buyer-seller issues.

7. Fees

We may charge:

• Buyers: Service or booking fees (disclosed at checkout).
• Sellers/Organizers: Commissions or listing fees as per separate agreement or platform terms.

All fees are non-refundable unless otherwise stated.

8. Prohibited Use

You may not:

• List or buy counterfeit, illegal, or prohibited items or tickets.
• Resell tickets without authorization.
• Post fraudulent or misleading content.
• Use bots, scrapers, or automated tools.
• Violate local Caribbean laws.

We may remove content or suspend accounts at our discretion.

9. Intellectual Property

All Platform content, trademarks, software, and branding are owned by or licensed KariPass. Users may not copy or use this content without express written consent.

10. Privacy

We collect and use your data in accordance with our [Privacy Policy]. By using the Platform, you consent to the collection, processing, and use of your data.

11. Disputes

If a dispute arises:

• Buyers should contact the Seller or Organizer first.
• If unresolved, contact our support team at [hello@karipass.com].
• We may choose to mediate disputes at our discretion but are not liable for the final resolution.

12. Disclaimer of Warranties

We make no guarantees about the availability, accuracy, or reliability of listings, and do not endorse any Organizer or Seller unless expressly stated. All services are provided “as is”.

13. Limitation of Liability

To the maximum extent allowed by law, we are not liable for indirect, incidental, or consequential damages. Our total liability will not exceed the fees paid by you to us in the past 12 months.

14. Termination

We may suspend or terminate your access for violating these Terms or applicable laws. You may delete your account at any time.

15. Governing Law

These Terms are governed by the laws of St Vincent & the Grenadines. You agree to submit to the exclusive jurisdiction of its courts.

16. Modifications

We may update these Terms from time to time. Updates will be posted on this page. Continued use of the Platform indicates your acceptance of any changes.
